Terms of Service
These terms explain how businesses can use Nearloop. The short version: you own your data, you approve every message, and you are responsible for contacting only people who gave you permission.
1. Agreement
These Terms of Service ("Terms") govern use of Nearloop, including nearloop.ai, the Nearloop app, lead pages, referral links and related services (the "Service"). By creating an account, joining a pilot, or using the Service for a business, you agree to these Terms on behalf of that business. If you do not agree, do not use the Service.
Our Privacy Policy explains how we handle information and is part of these Terms.
2. Who can use Nearloop
Nearloop is for businesses. You must be at least 18 and have authority to act for the business you sign up. We create accounts for approved businesses, and you are responsible for activity under your logins. Keep your password private, change any temporary password on first sign-in, and tell us right away at info@nearloop.ai if you think an account was misused.
3. The Service
Nearloop helps you capture leads, keep a customer list, and draft personal messages and campaigns. Key features include public lead pages, QR codes, referral links, AI drafting, and an AI voice agent where offered.
Some features are still being built, and features may change over time. Pilot and beta features are provided as they are, and we may change or end them. We will give reasonable notice before removing a paid feature you rely on.
4. You approve every message
Nearloop drafts messages, but you decide what is sent. Before you approve a message, review it for accuracy, offers, prices and tone. AI can make mistakes. You are responsible for every message you approve and for any offer you make to your customers.
5. Your responsibilities for contacting people
You are the sender of every message sent through Nearloop, and you are responsible for following the laws that apply. These include the CAN-SPAM Act for email, the Telephone Consumer Protection Act (TCPA) for texts and calls, state telemarketing and privacy laws, and the rules of any messaging platform you use. In particular, you agree to:
- Only add or upload people who gave you their information and permission to be contacted, and keep accurate consent records.
- Never upload purchased, rented or scraped contact lists, or member lists copied from groups you do not own.
- Honor opt-outs right away and never re-add someone who opted out.
- Get the consent required by law before sending texts or making calls with automated or AI voice technology.
- Include your accurate business name and contact details in messages.
- Have your own privacy notice for your customers that covers how you use Nearloop.
You will defend and hold Nearloop harmless from claims that arise from messages you approved or data you added in violation of these Terms or the law.
6. Acceptable use
You agree not to:
- Use the Service for anything illegal, deceptive, harassing, or discriminatory.
- Send spam, or impersonate another person or business.
- Collect sensitive information through Nearloop (such as Social Security numbers, full payment card numbers, or health records) unless we have agreed to it in writing.
- Try to access another business's data, get around security or rate limits, or reverse engineer the Service.
- Overload, disrupt, or attack the Service, or resell it without our written permission.
We may suspend accounts or block messages that put people, the Service, or our sending reputation at risk. Where we can, we will tell you first and give you a chance to fix the problem.
7. Your data
You own your business data and your customer data. You give us permission to host, process and use it only to provide and improve the Service for you, and as described in our Privacy Policy. We act on your behalf for your customer data. We do not sell it, use it to market to your customers, or use it to train AI models.
You can export or delete your data, or ask us to do so. When your account ends, we will delete or anonymize your data within 90 days, unless the law requires us to keep it.
8. Plans, trials and payment
New businesses get a 30-day free trial, and no credit card is needed to start. At the end of the trial, you can choose a paid plan or stop using the Service. We will not charge you without your agreement.
Paid plans are billed monthly in advance at the prices shown at sign-up, plus any applicable taxes. Plans renew each month until canceled. You can cancel at any time, and cancellation takes effect at the end of the current billing month. Fees already paid are not refunded, except where the law requires. We will give at least 30 days' notice before a price change takes effect for you.
9. Our property
Nearloop, including its software, design, brand and content we create, belongs to us and is protected by law. These Terms give you a limited right to use the Service for your business while your account is active. If you send us feedback or ideas, we may use them without obligation to you.
10. Third-party services
Nearloop may link to or work with other services, such as booking tools, calendars, email providers and messaging apps. Those services have their own terms, and we are not responsible for them.
11. Disclaimers
We work hard to keep Nearloop reliable and accurate, but the Service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not promise any specific number of leads, bookings or sales, or that AI output will always be accurate.
12. Limits on liability
To the extent the law allows, Nearloop will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months before the claim, or $100 if you have not paid us. Some places do not allow these limits, so they may not fully apply to you.
13. Ending use
You can stop using Nearloop at any time by canceling your plan or emailing us. We may suspend or end your access if you seriously or repeatedly break these Terms, if you do not pay, or if the law requires it. Sections that by their nature should continue (such as your responsibilities for messages, data deletion, disclaimers and limits on liability) survive after your account ends.
14. Changes to these Terms
We may update these Terms as the Service grows. If a change is meaningful, we will update the date at the top and tell you by email or in the app at least 30 days before it takes effect. If you keep using the Service after that, the new Terms apply.
15. Governing law
These Terms are governed by the laws of the State of Illinois, without regard to its conflict of law rules. Any dispute will be handled in the state or federal courts located in Illinois, and both sides agree to those courts. Before filing a claim, please contact us so we can try to resolve it informally.
